Terms of Service

1. Provision of Service

Verdify (a product of Simplenaire AI) provides AI-assisted workflows for semantic legal research, due diligence, and firm memory indexing. The services are provided on a "Software-as-a-Service" basis strictly for legal professionals, law firms, and corporate legal departments.

2. No Legal Advice; Disclaimer of AI "Hallucinations"

Verdify is a technology provider, not a law firm.

While our AI strives for high accuracy by strictly citing Zambian case law and legislation, Large Language Models can occasionally produce inaccuracies, misinterpretations, or "hallucinations." You, the licensed legal practitioner, are solely responsible for reviewing, validating, and ratifying any output generated by Verdify before applying it to your client's matters. Verdify is not liable for malpractice, inaccuracies, or damages resulting from unreviewed reliance on AI-generated outputs.

3. PII Redaction & Data Uploads

As the Data Controller under the Zambia Data Protection Act No. 3 of 2021, you represent and warrant that you hold the lawful authority and necessary consent from your clients to upload their documents to our platform. We strongly advise redacting highly sensitive Personal Identifiable Information (PII) prior to uploading contracts or internal memos to Verdify's Due Diligence or Firm Memory features.

4. Availability & Quotas

Service uptime is guaranteed on a commercially reasonable basis. Subscription tiers dictate your processing quotas. Verdify reserves the right to suspend or block usage if automated, unnatural scraping limits threaten platform stability.

5. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the Republic of Zambia.

6. Cancellation & Refund Policy

You may cancel your subscription at any time from your dashboard settings. Cancellation takes effect at the end of your current billing period — you retain full access to your plan until that date.

All payments for Verdify subscriptions and credit top-ups are non-refundable. As a provider of digital services delivered electronically and consumed immediately upon use, Verdify does not issue refunds under any circumstances, including but not limited to unused credits, partial billing periods, or dissatisfaction with AI-generated outputs. This policy applies to all subscription tiers and one-time purchases.

7. Service Delivery

Verdify is a digital SaaS platform. All services are delivered electronically. Upon confirmed payment, platform access is activated automatically — typically within minutes of a successful transaction. No physical goods are dispatched. Subscription activation is contingent on successful payment confirmation from our payment processor, Broadpay (Lenco).

8. Order Processing

All subscription orders and credit top-up purchases are processed promptly upon payment confirmation. Access upgrades and credit allocations are applied to your account automatically without manual intervention. In the event of a payment processing delay, our support team will investigate and resolve the matter within 1 business day of being notified.
